Mimi,

A non-profit 501 c[3] organization is "declared" after a corporation is
formed with officers, charter/purpose, and by-laws. The corporation then
petitions the IRS for non-profit status.

Step 1 needs to be the formation of a corporation including election of
officers. That is not a difficult process but there are issues with a
dispersed group such as our. Like - WHICH state do you incorporate in ?
HOW do we nominate and elect officers? Can this be done via the internet
with a minimum of paperwork sent by snail-mail ?

Incorporation procedures are different for every state. The charter/purpose
of the corporation must also be stated -- with an eye to getting non-profit
status. Like if the purpose is political, for example, that will not fly.
On this subject, if we have in the CZ list an attorney, he/she can create a
corporation in a few hours of work. If not, the NoLo Press people have
wonderful software, reasonably priced, to help in the incorporation process.
And, despite some unbelievers, NoLo's stuff is pretty solid and they have
methods that work in most or all states.

Step 2, applying for non-profit status is messier and takes a while to get
approval from the IRS. Items like the planned budget and other financial
details are required. If I remember correctly, there are a bunch of forms
that approach 50 pages in length. There are firms which work this process
for you and charge a flat fee for getting 501 c[3] status.

In all this, a lawyer with experience in this area is a wonderful start.
Even without a lawyer, getting non-profit status is worthwhile since all
donations are tax deductible and people will give $$$ more readily to such
an entity.
