Dear Wolf et al,

Concerning forming a corporation (which I suggested some months ago) there
are a number of different types of 501 (c) 3 corporations. The one that is
most appropriate I think, is fraternal. This is often used to form
organizations which maintain cemeteries and cemetery plots.
You are correct that the first step is to put together a corporation, then
to file with the IRS for 501(c)3 status.
As far as which state to incorporate in, many people incorporate in
Delaware, since there are less taxes, and less forms to deal with.
I would suggest that the paperwork be completed by a small number of us, and
then have it reviewed by a lawyer familiar with forming a 501(c)3.
I recently was involved in filling out the forms for another organization.
While it is true the form itself is about fifty pages, you don't necessarily
have to fill out all the pages. A small group of individuals familiar with
all aspects of the cemetery, could probably complete the forms in one day.
It depends on what type of organization (e.g. Fraternal) that you are trying
to become.
The IRS allows officers of the corporation to live outside the US.

If I remember the filing fee is either $300 or $700 depending again on what
type of organization you are filing for.
Also, are we getting off course here? From what I understand, the same group
who worked at the cemetery last summer, will be working there this summer,
and hopefully making considerable progress. However, as has been stated
before, the cleanup is one thing, but the key is maintaining. We don't want
to have a situation where five years from now, we are going through this
whole process again.
One last point, in order to have some assurance that the cemetery will be
maintained in the future, a corporation is necessary. I do not think it is
beyond the capabilities of this group to form the corporation and elect it's
officers. No matter what the cost is to do this, using an outside
organization will only add another level of bureaucracy and, unless they are
working for free, additional cost.
